This is the Standard Software Licence agreement for
all iBright software products.
In addition, baseSim has the following modifications/enhancements...
Modification to Grant of Licence
baseSim is licensed to be 'Royalty free' under the
following circumstances...
- The compiled baseSim Model is used to produce result
data that is used internally within the organisation
or released to a third-party for payment.
- The compiled baseSim Model is given freely, or
offered for payment, as a single Seat license, to
a third-party, with the sole requirement of carrying
out production runs and extracting result data.
- The compiled baseSim Model is given freely, or
offered for payment, as a multi Seat license, to
a third-party, for any purpose.
- baseSim is used to produce a baseSim Model or 'Simulation
Application' which is given, or offered for payment,
to multiple third-parties, for any purpose.
Modification to Rights and Limitations
baseSim may not be used to create, or be made to form
part of, any other Simulation Language or Suite of
Simulation Tools. baseSim is licensed solely for the
purpose of Simulation Research and Model building.
Important - Read Carefully:
This iBright Limited licence Agreement is a legal
agreement between you (either an individual or a single
organisation) and iBright Limited for the iBright software
product(s) identified above which may include associated
software components, media, printed materials, and "online" or
electronic documentation ("SOFTWARE PRODUCT").
By installing, copying, or otherwise using the SOFTWARE
PRODUCT, you agree to be bound by the terms of this
agreement. If you do not agree to the terms of this
agreement, do not install or use the SOFTWARE PRODUCT.
If the SOFTWARE PRODUCT was purchased by you, you may
return it to your place of purchase for a full refund.
The SOFTWARE PRODUCT is protected by copyright laws
and international copyright treaties, as well as other
intellectual property laws and treaties. The SOFTWARE
PRODUCT is licensed, not sold.
Grant of Licence
This Agreement allows you to:
Install and use the Software on a single computer
(1 Seat) and make one copy of the Software in machine-readable
form solely for backup purposes. You must reproduce
on any such copy all copyright notices and any other
proprietary legends on the original copy of the Software.
Install the Software on a storage device, such as
a network server, and run the Software on an internal
network, provided the number of concurrent users (Seats)
does not exceed the number of copies of the Software
purchased. A copy of the Software must be purchased
for each such user (Seat).
If you have purchased a multi-user licence for the
Software product, such as a Ten-Pack licence, or a
licence to make multiple installations of the Software,
you may concurrently use the number of copies (Seats)
of the Software authorised by that purchase.
Other Rights and Limitations
You must not remove or alter any copyright notices
on all copies of the SOFTWARE PRODUCT.
You may not distribute copies of the SOFTWARE PRODUCT
to third parties.
You may not reverse engineer, decompile, or disassemble
the SOFTWARE PRODUCT, except and only to the extent
that such activity is expressly permitted by applicable
law.
You may not rent, lease, or lend the SOFTWARE PRODUCT.
You may permanently transfer all of your rights under
this agreement, provided the recipient agrees to the
terms of this agreement.
Termination
Without prejudice to any other rights, iBright may
terminate this agreement if you fail to comply with
its terms and conditions. In such event, you must permanently
uninstall all copies of the SOFTWARE PRODUCT.
Limitations to the Warranty and Liability
Should you discover a material defect on the media
upon which the software is furnished (not applicable
if you have downloaded the program from a server or
if you have copied the program from other media) within
ninety days following the date of purchase, the media
will be replaced free of charge.
Although the licenser has thoroughly tested the programs
and reviewed the documentation, the licenser cannot
guarantee that the program will suit your needs, nor
that it will function correctly in every hardware or
software environment, nor that its operation will be
uninterrupted or infallible.
Except insofar as it has been stated in paragraph
one (above), the licenser and the other owners grant
no guarantee and acknowledge no express or tacit guarantee
regarding the software, its quality, its description,
its retail value, or its appropriateness for any specific
function.
In no case will the licenser or the other owners assume
any responsibility for any direct or indirect damages,
losses, loss of revenues, or for any loss of recorded
data concerning the use or unsuitability of the software.
No distributor, dealer, agent, or intermediary is
authorised to modify or otherwise amend this declaration
of guarantee and of limited liability.
Upgrades
If this copy of the Software is an upgrade from an
earlier version of the Software, it is provided to
you on a licence exchange basis. You agree by your
installation and use of this copy of the Software to
voluntarily terminate your earlier end-user licence
and that you will not continue to use the earlier version
of the Software nor transfer it to another.
Ownership
The foregoing licence gives you limited rights to
use the Software. Although you own the media on which
the Software is recorded, you do not become the owner
of, and iBright retains title to, the Software. All
rights not specifically granted in this Agreement,
including International Copyrights, are reserved.
General Terms
This contract is governed by English law. You acknowledge
having read this licence and having understood all
its terms, and you agree to respect them in whole.
Furthermore, you hereby acknowledge that this licence
contains the complete and exhaustive list of the terms
of the agreement concerning the software struck between
you and the licenser, and that it replaces any previous
agreement or any written or oral exchange or any other
communication pertaining to the object of this licence.
